Smarter Business Loyalty Programme Terms and Conditions

By participating in the Smarter Business Loyalty Programme ("the Programme"), eligible customers agree to be bound by these Terms and Conditions. Please read them carefully.
1. Eligibility
1.1 The Smarter Business Loyalty Programme is open to all existing ("Live") Smarter Business customers.
1.2 To be eligible for entry into the loyalty draw, a customer must:
- a. have an active supply contract arranged through Smarter Business ("Live Contract") with a minimum term of 12 months or more.
- b. have successfully completed at least one full 12-month period of their Live Contract with Smarter Business (i.e. reached their 12-month anniversary).
- c. meet the specific Annual Quantity (AQ) thresholds as defined by Smarter Business for the relevant tier of the Programme at the point of their 12-month anniversary.
- d. have fulfilled all contractual obligations to Smarter Business and their energy supplier, including but not limited to, payment of all due invoices, at the time of the draw and prize fulfilment.
1.3 Exclusions: The Programme is not open to employees, agents or affiliates of Smarter Business, their immediate family members or any third parties directly involved in the administration of the Programme.
2. Programme Structure and Entry
2.1 Eligible customers will be automatically entered into a lucky draw upon their 12-month anniversary of the Live Contract. For customers on contracts exceeding 12 months, subsequent entries will occur on each annual anniversary of their Live Contract.
2.2 The Programme operates on a tiered basis, with prize values determined by the customer's Annual Quantity (AQ) at the point of their 12-month anniversary:
- a. Tier 1: Customers with an Annual Quantity (AQ) exceeding 150,000 kWh will be eligible for a prize value of £1,000.00 credit.
- b. Tier 2: Customers with an Annual Quantity (AQ) below 150,000 kWh will be eligible for a prize value of £500.00 credit.
2.3 Smarter Business reserves the right to introduce additional entry methods or bonus entries for activities such as cross-sells or customer referrals, which will be communicated separately.
3. Prize Fulfilment
3.1 Winners of the loyalty draw will be notified by Smarter Business within [30] days of their eligible anniversary date.
3.2 The sum awarded (either £500.00 or £1,000.00 as per the eligible tier) will be payable by Smarter Business upon receiving a valid invoice.
3.3 The invoice must be made out to "Smarter Business" by the registered business name of the winning customer.
3.4 Crucially, sums cannot be made payable to individuals, except in the case of a valid sole trader operating under their own name, where their business is legally registered as such. Proof of sole trader status may be requested.
3.5 The prize will typically be fulfilled via BACS transfer or a gift card. The specific method of fulfilment will be at Smarter Business' discretion.
3.6 Prizes are non-transferable, non-exchangeable and no cash alternative will be offered, other than the credit or gift card as specified.
3.7 Smarter Business will not be responsible for any tax implications that may arise from the prize. Winners are advised to seek independent financial advice.
4. Programme Duration and Modification
4.1 The Smarter Business Loyalty Programme is offered at the sole discretion of Smarter Business.
4.2 Smarter Business reserves the right to modify, suspend or terminate the Programme or amend these Terms and Conditions, at any time - with or without prior notice.
4.3 Any such changes will be communicated via the Smarter Business website or directly to customers. Customers are advised to regularly review these Terms and Conditions.
4.4 Smarter Business shall not be liable for any loss or damage whatsoever arising from any modification, suspension or termination of the Programme.
5. Data Protection
5.1 Smarter Business will process personal data in accordance with its Privacy Policy and applicable UK data protection legislation (e.g. UK GDPR and the Data Protection Act 2018).
5.2 By participating in the Programme, customers agree that Smarter Business may use their data for the purposes of administering the Programme, including contacting winners and fulfilling prizes.
6. Legitimate Business Purpose & Anti-Bribery Compliance
6.1 The Smarter Business Loyalty Programme is a legitimate commercial initiative designed to foster strong, long-term relationships with our valued customers. Its sole purpose is to recognise and reward customer loyalty, encourage retention and enhance overall client satisfaction.
6.2 This Programme and the prizes offered are not intended to, nor should they be construed as, an inducement or reward for any improper performance of a function or activity by any customer or their representatives. Smarter Business operates in strict compliance with the Bribery Act 2010 and all other applicable anti-bribery and anti-corruption laws.
6.3 By participating, customers acknowledge that the Programme is a transparent and properly documented commercial incentive for continued, legitimate business and not a bribe or an unfair advantage.
7. General Conditions
7.1 Smarter Business' decision regarding any aspect of the Programme is final and binding and no correspondence will be entered into.
7.2 Smarter Business accepts no responsibility for entries that are not received, lost or delayed for any reason.
7.3 Smarter Business shall not be liable for any failure to comply with its obligations where the failure is caused by something outside its reasonable control.
7.4 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
